Draft an irrevocable power of attorney-in-fact, authorizing me to act on her behalf, in form suitable to you for present purposes. 2. I will then negotiate a contract with you as outlined in your letter to her. I believe your offer is quite appropriate to the circumstances. 3. This contract should have the proviso that accumulated royalties will remain in your hands, to be paid out only as I may direct, to Spurway, or to her nominee or to any charitable cause. After five years, the balance will be paid over to her. This provision will, I believe, protect her and myself from being charged with constructive income not actually received. 4.
